             How to Obtain an Application for Withdrawal of a Foreign Corporation 

This guide sheet is intended to provide you with information on obtaining a Application for Withdrawal of a 
Foreign Corporation. This guide-sheet is not intended to substitute for nor replace the advice of legal counsel.  

Utah law requires out of state corporations seeking withdrawal to receive tax clearance from the Utah Tax 
Commission as part of the Application for Withdrawal.               The Division of Corporations & Commercial Code will 
verify the out of state corporation's tax status with the Utah Tax Commission after we receive the withdrawal 
application. 

Obtaining a Application for Withdrawal. 

Step 1:  

A corporation may not withdraw from this state until it has corrected any negative tax status. 

Profit Corporation U.C.A. Section 16-10a-1520: 

Nonprofit Corporation U.C.A. Section 16-6a-1513: 

Step 2:

  Prepare and submit the completed application form to the Division of Corporations & Commercial Code. 
You may file in person, by mail, fax or email.  

Under GRAMA {63G-2-201}, all registration information maintained by the Division is classified as public record.  For confidentiality purposes, 
you may  use the business entity physical address rather than the residential or private address of any individual affiliated with the entity.
