                                INSTRUCTIONS FOR COMPLETING THIS FORM 
 
All business corporations governed under Chapter 302A/319B are required to file an annual renewal once every 
calendar year. 
 
Items 3 and 4 are filed within the articles of incorporation; if there is a change to this information you must amend 
your articles of incorporation. The amendment form along with the $35.00 filing fee must be submitted at the same 
time as your annual renewal. You cannot use the annual renewal form to make changes to the articles of 
incorporation.  Items 5 through 8 can be changed once a year by filing the annual renewal form with our office or by 
entering it online at https://online.sos.state.mn.us/abr/corp_annual_filing.asp.

A business corporation that has been statutorily dissolved by our office may retroactively reinstate its existence by 
filing the current year's renewal and paying  a$25.00 fee.  For your convenience the Office of the Secretary of State
does provide standard forms for most filings or for an additional $10.00 fee you may use express services to file online.
